Vibta — Terms of Service (English) Oct 17, 2026 · @vibta 1. Who we are and acceptance of these Terms 1.1 These Terms of Service (the "Terms") are a binding agreement between you and [● Vibta legal entity name], a [● company type] incorporated in the Arab Republic of Egypt, commercial registration no. [●], registered address [●] ("Vibta", "we", "us", "our"). 1.2 These Terms govern your access to and use of the websites at vibtahealth.com and its sub-domains, the Vibta patient app, the Vibta clinic portal, any Vibta mobile application, and every related feature, message and service (together, the "Platform"). 1.3 By creating an account, making a booking, or otherwise using the Platform, you confirm that you have read and accept these Terms and acknowledge our Privacy Policy. If you do not accept these Terms, you must not use the Platform. 1.4 If you use the Platform as a member of a clinic's staff, you are also bound by the Clinic Agreement signed by that clinic. Where the Clinic Agreement and these Terms conflict on a matter between Vibta and the clinic, the Clinic Agreement prevails. 1.5 Your electronic acceptance of these Terms has the same legal effect as a signed written agreement, to the extent permitted by Egyptian law, including Law No. 15 of 2004 on Electronic Signature. 1.6 These Terms are issued in Arabic and English. If the two versions differ, the Arabic version prevails. 2. Definitions In these Terms: • "Account" means the personal account you create or are given to use the Platform. • "Appointment" means a time with a Practitioner at a Clinic that is booked through the Platform, including a walk-in visit registered by a Clinic on the Platform. • "Clinic" means a licensed healthcare facility, medical centre or practitioner's office that has signed a Clinic Agreement with Vibta and is listed on the Platform. • "Clinical Content" means any information about a patient's health or care that a Clinic or Practitioner creates or uploads, including visit notes, diagnoses, prescriptions, test results, images and medical files. • "Healthcare Services" means any medical, diagnostic, therapeutic or other health service provided by a Clinic or Practitioner. • "Ledger" means the record in your Account of amounts you owe or are owed in connection with Appointments, including late-cancellation and no-show charges. • "Practitioner" means a doctor or other licensed health professional who provides Healthcare Services at or for a Clinic. • "Privacy Policy" means Vibta's privacy policy as published on the Platform from time to time. • "Service Fee" means any fee Vibta charges you for using the Platform, as described in clause 6. • "User" or "you" means any person who uses the Platform, whether as a patient, a person booking for a dependant, or a member of a Clinic's staff. 3. What Vibta is — and what it is not 3.1 A technology platform only. Vibta provides software that lets patients find Clinics, see available times, book and manage Appointments, and lets Clinics run their schedules, queues, patient registry, billing and records. Vibta's role is limited to providing that technology. 3.2 Vibta is not a healthcare provider. Vibta does not provide Healthcare Services, medical advice, diagnosis, treatment, prescriptions or emergency care. Vibta does not employ, supervise, direct or control any Clinic or Practitioner, and does not take part in any clinical decision. 3.3 Your medical relationship is with the Clinic. When you book an Appointment, the contract for Healthcare Services is formed directly between you and the Clinic (and, where relevant, the Practitioner). Vibta is not a party to that contract and does not act as the agent of the Clinic in providing care. 3.4 Clinical Content belongs to the Clinic's record. Clinical Content shown on the Platform is created by the Clinic or Practitioner. Vibta stores and displays it on the Clinic's behalf and on its instructions. Vibta does not review, verify, interpret or edit Clinical Content and is not responsible for its accuracy or completeness. 3.5 Professional responsibility. Each Clinic and Practitioner is solely responsible for its licences and qualifications, the Healthcare Services it provides, obtaining your informed consent, keeping accurate medical records, and complying with the laws that regulate medical practice, including Law No. 13 of 2025 on Medical Liability and Patient Safety. Nothing in these Terms limits any right you have against a Clinic or Practitioner. 3.6 Not for emergencies. Do not use the Platform in a medical emergency. Call the ambulance service on 123 or go to the nearest emergency department. Messages, bookings and requests sent through the Platform may not be seen immediately. 3.7 Clinic information. Clinic and Practitioner details on the Platform (such as specialty, qualifications, fees, services, location and opening hours) are supplied by the Clinic. Vibta carries out the onboarding checks described in its Clinic Agreement but does not guarantee that this information is complete or current. A Clinic's presence on the Platform, or the order in which Clinics appear, is not a recommendation or endorsement by Vibta. 3.8 No guarantee of treatment. A confirmed Appointment reserves a time with a Clinic. It is not a promise that you will receive any particular treatment, or that a Practitioner will accept you as a patient after assessing you. 4. Eligibility, accounts and security 4.1 Age. To open an Account you must be at least [● 21] years old and have full legal capacity under Egyptian law. Where the Platform allows it, a parent or legal guardian may book for a child or another dependant they are legally responsible for. The account holder is responsible for those bookings and for giving any consent the law requires on the dependant's behalf, including written consent for a child under 15. 4.2 Accurate information. You must give true, current and complete information, including your legal name and a mobile number you control, and keep it up to date. Each Account is for one person and may not be shared, sold or transferred. 4.3 Verification. We may verify your mobile number or email by one-time code before you can book. Until your mobile number is verified, your Account will not be linked to any existing record a Clinic holds about you. Linking happens only after verification or after the Clinic confirms your identity. 4.4 Keeping your Account secure. You must keep your password and one-time codes confidential and must not let anyone else use your Account. You are responsible for activity on your Account unless it results from our failure to apply reasonable security. Tell us at once at [● support@vibtahealth.com] if you think your Account has been accessed without permission. 4.5 Clinic staff accounts. Accounts for Clinic staff are created and controlled by the Clinic. Each staff Account is personal to one named person and may be used only for that Clinic's work and within the role the Clinic has assigned. 5. Booking, attendance, cancellation and no-shows 5.1 Availability. Available times are set by each Clinic. Vibta shows them as the Clinic provides them and does not guarantee that any time will remain available until you confirm. 5.2 Confirmation. An Appointment is booked only when the Platform shows it as confirmed and sends you a confirmation. Before you confirm, the Platform shows a summary of the Clinic, Practitioner, date, time, the Clinic's fee and any Service Fee, and the cancellation terms that apply. 5.3 Length and order of service. The length of each Appointment is set by the Practitioner. On arrival you will be given a place in the Clinic's queue. Clinics may serve patients in queue order, which can differ from the booked time, and delays caused by earlier patients, emergencies or the Practitioner's clinical judgement are outside Vibta's control. 5.4 Changes by the Clinic. A Clinic may need to reschedule or cancel an Appointment, for example if a Practitioner is unavailable. We will notify you through the Platform as soon as the Clinic records the change. If you prepaid any amount through the Platform, you will receive a full refund of it or may choose a new time. Vibta is not responsible for a Clinic's decision to change or cancel an Appointment. 5.5 Cancellation by you. You may cancel free of charge up to [●] hours before the Appointment (the "Cancellation Window"). The Cancellation Window that applies is shown before you confirm and in your confirmation. If you cancel after the Cancellation Window closes, a late-cancellation charge may apply. 5.6 No-shows. If you do not attend and have not cancelled, a no-show charge may apply. Any late-cancellation or no-show charge will never exceed the amount shown to you before you confirmed the booking. 5.7 Your Ledger. Late-cancellation and no-show charges are recorded in your Ledger. You can see every entry, its date and its reason. Amounts in your Ledger may be payable at your next visit or before your next booking. If you believe an entry is wrong, you may dispute it under clause 15.1 within [● 30] days; the Clinic and Vibta will review it and remove it if it was recorded in error. 5.8 Repeated no-shows. If you repeatedly miss Appointments without cancelling, we or the Clinic may require prepayment for future bookings or limit your ability to book, after notifying you. 6. Fees, payments, vouchers and the patient Ledger 6.1 Clinic fees. Consultation fees and the prices of any additional services are set by the Clinic and are owed to the Clinic. The final amount may differ from the price shown at booking if the Clinic provides additional services at your request or on clinical grounds, as the Clinic will explain to you. 6.2 Vibta Service Fee. Vibta may charge a Service Fee for booking through the Platform. Any Service Fee is always shown as a separate line before you confirm. The current Service Fee is [● 0% of the Clinic fee]. A change to the Service Fee applies only to bookings made after the change is published. 6.3 How you pay. Unless the Platform offers online payment for a booking, you pay the Clinic directly at the Clinic by the methods it accepts. Where online payment is offered, it is processed by a licensed payment provider. Vibta does not store your full card details. When you pay a Clinic's fee through the Platform, Vibta receives that payment as the Clinic's limited collection agent, and your payment to Vibta settles that amount with the Clinic. 6.4 Refunds of prepaid amounts. If you prepaid through the Platform, you receive a full refund if the Clinic cancels, or if you cancel within the Cancellation Window. In other cases the refund terms shown before you confirmed apply. Refunds are made to the original payment method within [● 14] days of approval; your bank may take longer to show them. 6.5 Vouchers. Vibta or a Clinic may issue vouchers. Each voucher shows who issued it, what it covers, its value or discount, and its expiry date. Unless the voucher says otherwise, a voucher has no cash value, cannot be exchanged for cash, cannot be transferred, and is void if obtained by fraud or in breach of these Terms. 6.6 Receipts and taxes. The Clinic issues receipts for Healthcare Services. Vibta issues receipts for any Service Fee. Prices include any taxes that apply unless stated otherwise. 6.7 Consumer rights. Nothing in this clause limits your rights under Consumer Protection Law No. 181 of 2018. 7. Health information, privacy and consent 7.1 Privacy Policy. How we collect, use, share, store and protect personal data is explained in our Privacy Policy, which is issued under Personal Data Protection Law No. 151 of 2020 and its Executive Regulations. 7.2 Who is responsible for what. Vibta is responsible (as controller) for your Account data: your name, contact details, login data, booking history and Ledger. Each Clinic is responsible (as controller) for the medical records and Clinical Content it keeps about you. Vibta processes Clinical Content only on the Clinic's behalf and on its documented instructions. 7.3 Your consent to health data. Health data is sensitive personal data under Egyptian law. We ask for your explicit consent to process it in a separate, clearly worded step in Arabic, not by acceptance of these Terms. We keep a record of that consent, and you may withdraw it at any time, though withdrawing it may prevent the Platform from showing you records or booking certain services. 7.4 Who can see your information. A Clinic you book with can see your booking details and the records that Clinic holds about you. One Clinic cannot see the records another Clinic holds about you unless you choose to share them [● only if the Platform offers sharing]. Vibta's platform administrators are technically prevented from viewing Clinical Content. Vibta staff may access personal data only where needed to provide support you or the Clinic request, to keep the Platform secure, or where required by law, and every such access is logged. 7.5 Where data is stored. The Platform is hosted with service providers in the European Union (Frankfurt, Germany). Any transfer of personal data outside Egypt is made under the licences and permits required by Egyptian law and with the safeguards described in the Privacy Policy. 7.6 Security. We protect personal data with technical and organisational measures appropriate to health data, including encryption in transit, role-based access, audit logs and encrypted backups. No system is completely secure. If a personal data breach affects you, we will notify the Personal Data Protection Center and you within the periods required by law. 7.7 Messages. We send service messages needed to run the Platform, such as one-time login codes, booking confirmations, reminders and changes to your Appointments. We send marketing messages only if you opt in, and you may opt out at any time from the message itself or your Account settings. 7.8 Medical records are kept by law. You may close your Account at any time. Closing it does not delete medical records that a Clinic must keep under the laws that regulate medical practice. Requests about those records should be made to the Clinic, and we will help the Clinic respond. 8. Acceptable use You must use the Platform lawfully and only for its intended purpose. In particular, you must not: 1. book Appointments you do not intend to attend, hold times to block other patients, or resell or trade Appointments; 2. give false identity or health information, or book in another person's name without their authority; 3. access, or try to access, another person's Account, records or data, or any part of the Platform you are not authorised to use; 4. copy, scrape, harvest or bulk-download data from the Platform, including Clinic listings or availability; 5. interfere with the Platform's security or operation, test it for vulnerabilities without our written permission, or introduce malicious code; 6. reverse-engineer, decompile or copy the Platform's software, except where the law expressly allows it; 7. harass, threaten or abuse Clinic staff, Practitioners or other Users through the Platform; 8. upload content that is unlawful, defamatory, obscene, or infringes another person's rights or privacy; 9. use the Platform to send advertising or unsolicited messages; or 10. use the Platform in breach of Law No. 175 of 2018 on Combating Information Technology Crimes or any other applicable law. Clinic staff must also access patient information only as needed for that patient's care or administration, and only within the role the Clinic has given them. 9. Clinics, Practitioners and third-party services 9.1 Independent providers. Clinics and Practitioners are independent of Vibta. They are not Vibta's employees, agents or partners, and Vibta is not responsible for their acts, omissions, advice, prices, premises or conduct. 9.2 Complaints about care. Complaints about Healthcare Services should be raised with the Clinic, and may also be raised with the competent health authorities or professional bodies. If you tell us about a complaint, we will pass it to the Clinic and may review whether the Clinic is meeting its obligations to Vibta, but we cannot decide medical disputes. 9.3 Reviews. [● Only if the Platform offers reviews.] Reviews must reflect your own genuine experience. We may remove reviews that are unlawful, abusive, misleading, or that disclose another person's health information. 9.4 Third-party services. Some features rely on third parties, such as sign-in with Google, payment providers, SMS and email delivery, and maps. Your use of those services may also be governed by their own terms. Vibta is not responsible for third-party services that it does not control, but chooses its providers with care and binds them to protect personal data. 10. Intellectual property 10.1 Vibta's rights. The Platform, its software, design, text, graphics, the Vibta name and logo, and all related intellectual property belong to Vibta or its licensors and are protected by Law No. 82 of 2002 on the Protection of Intellectual Property Rights and other applicable laws. 10.2 Your licence. Vibta grants you a personal, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose under these Terms. No other right is granted. 10.3 Content you provide. You keep ownership of content you submit. You give Vibta a non-exclusive, royalty-free licence to host, store, display and process it only as needed to operate the Platform for you and the Clinics you deal with, and in line with the Privacy Policy. 10.4 Feedback. If you send us suggestions about the Platform, we may use them without obligation to you. 11. Availability and changes 11.1 Availability. We aim to keep the Platform available at all times but do not guarantee uninterrupted access. We may suspend it for maintenance, security or reasons outside our control, and will try to give notice of planned maintenance. Booking confirmations and reminders depend on mobile networks and email providers and may occasionally be delayed or not delivered; please check your Appointments in the Platform. 11.2 Changes to the Platform. We may add, change or remove features. If we remove a feature that is central to your use of the Platform, we will give reasonable notice. 11.3 Changes to these Terms. We may update these Terms. We will give at least [● 30] days' notice of a material change through the Platform or by email. Changes apply from the date stated and do not affect bookings confirmed before that date. If you do not agree, you may close your Account before the change takes effect; continuing to use the Platform after that date means you accept the updated Terms. 12. Disclaimers 12.1 Nothing on the Platform is medical advice. Any health information shown by Vibta itself (as opposed to Clinical Content from your Clinic) is general information only and must not replace consultation with a qualified Practitioner. 12.2 To the extent permitted by law, the Platform is provided "as is" and "as available". Vibta does not warrant the quality, safety or outcome of any Healthcare Services, the accuracy of information supplied by Clinics, or that a Clinic or Practitioner will be available at a particular time. 12.3 Vibta does not warrant that the Platform will be free of errors or interruptions, but will correct errors it becomes aware of within a reasonable time. 13. Limitation of liability 13.1 Medical matters are excluded. Vibta is not liable for any harm, loss or claim arising from Healthcare Services, the advice or conduct of any Clinic or Practitioner, the content of Clinical Content, or any clinical decision, because Vibta does not provide or control them (clause 3). 13.2 Losses we are not liable for. To the extent permitted by law, Vibta is not liable for indirect or consequential loss, or for loss of profit, income or opportunity, arising from your use of the Platform. 13.3 Cap. To the extent permitted by law, Vibta's total liability to you for all claims arising from the Platform in any 12-month period is limited to the greater of (a) the Service Fees you paid to Vibta in that period and (b) EGP [● 1,000]. 13.4 What is never limited. Nothing in these Terms excludes or limits Vibta's liability for fraud or gross fault (as provided in Article 217 of the Civil Code), for any liability that cannot be limited under Egyptian law, for Vibta's obligations under Personal Data Protection Law No. 151 of 2020, or for your rights as a consumer under Consumer Protection Law No. 181 of 2018. 14. Suspension and termination 14.1 By you. You may close your Account at any time from your Account settings or by contacting us. Future Appointments will be cancelled under clause 5. 14.2 By Vibta. We may suspend or close your Account, after giving notice where reasonably possible, if you seriously or repeatedly breach these Terms, if we reasonably suspect fraud or misuse, or if the law or a competent authority requires it. Where the breach can be remedied, we will first ask you to remedy it. 14.3 Effect. Closing an Account does not cancel amounts properly recorded in your Ledger before closure, nor clauses that by their nature continue (including clauses 3, 7.8, 10, 13 and 15). Personal data is retained or deleted as described in the Privacy Policy, and medical records are retained by Clinics as clause 7.8 explains. 15. Governing law and disputes 15.1 Talk to us first. If you have a complaint about the Platform, contact us at [● support@vibtahealth.com]. We will acknowledge it within [● 2] working days and aim to resolve it within [● 15] working days. 15.2 Consumer and data complaints. You may also complain to the Consumer Protection Agency, or about personal data to the Personal Data Protection Center. 15.3 Law. These Terms are governed by the laws of the Arab Republic of Egypt. 15.4 Courts. Any dispute that is not resolved under clause 15.1 within 30 days will be decided by the competent courts of [● Alexandria], without affecting any right you have under Egyptian law to bring proceedings before another competent court. 16. General and contact 16.1 Entire agreement. These Terms, the Privacy Policy and any terms shown to you when you book form the whole agreement between you and Vibta about the Platform. 16.2 Severability. If any part of these Terms is found invalid or unenforceable, the rest remains in force, and the invalid part is replaced by a valid provision closest to its purpose. 16.3 Transfer. You may not transfer your rights under these Terms. Vibta may transfer them to a company in its group or to a buyer of its business, provided your rights are not reduced and you are notified. 16.4 Force majeure. Neither you nor Vibta is liable for failure caused by events beyond reasonable control, such as natural disasters, epidemics, war, government action, or widespread failures of power, internet or telecommunications networks. 16.5 No waiver. If we do not enforce a right immediately, we may still enforce it later. 16.6 Notices. We may send notices to the email or mobile number on your Account or show them in the Platform. You may send notices to the address below.
